Terms of Service

These Terms of Service outline the rules and conditions that govern your use of our website and services. Please read the terms below carefully.

01. Eligibility and Authority

You must be at least 18 years old to use the Service.

If you access or use the Service on behalf of a company or other entity, you represent and warrant that you have authority to bind that entity to these Terms and that the entity is responsible for its authorized users.

02. Changes to the Service or Terms

We may modify the Service or these Terms from time to time. Updated Terms become effective when posted unless a later effective date is stated. Continued use after the effective date constitutes acceptance of the revised Terms.

We may add, modify, suspend, or discontinue features or portions of the Service, subject to applicable law and any separate written agreement between you and Restaurant Pipeline.

03. Accounts and Security

If you create an account, you agree to provide accurate information, protect login credentials, promptly notify us of suspected unauthorized use, and ensure that users accessing your account comply with these Terms.

You are responsible for activity under your account except to the extent otherwise required by law. We may suspend or restrict accounts that appear compromised, unlawfully accessed, or materially misused.

04. Subscriptions, Billing, and Taxes

Paid plans may include subscription, usage, export, data, or license fees. Applicable fees, user limits, usage allowances, and plan limits are described at checkout, in an order form, or in another pricing agreement.

Taxes may apply and are your responsibility unless otherwise required by law. Unless otherwise stated, subscriptions automatically renew, fees are non-refundable, cancellations or downgrades apply to future billing periods, and failure to pay amounts when due may result in suspension or termination.

05. The Data

The Service provides restaurant and foodservice business intelligence, including information about locations, operators, brands, ownership, openings and closures, development activity, expansion signals, market activity, contacts, scoring outputs, and related commercial information (collectively, the “Data”).

Data may be compiled, derived, or enhanced from public records, government filings, corporate registrations, permits, news and company sources, third-party data providers, user submissions, proprietary research, automated processing, statistical models, and other lawful sources.

Data may contain errors, omissions, duplicates, estimates, incomplete fields, or delays. Information changes over time, early-stage signals may not result in an opening or transaction, and predictive or analytical outputs are not guarantees.

You are responsible for determining whether Data should be independently verified before you rely on it for a particular decision or use. Your use of Data must comply with applicable privacy, marketing, communications, consumer protection, and other laws.

It is provided as reference documentation and may evolve over time; unless expressly stated in a separate written agreement, it is not incorporated into these Terms as an independent contractual obligation.

06. License and Permitted Use

Subject to these Terms, your applicable subscription or license, and applicable plan limits, Restaurant Pipeline grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service and Data for legitimate business purposes.

You may copy, download, export, store, analyze, transform, enrich, combine, and process Data obtained through your authorized access to the Service. Permitted uses include market research, territory planning, sales prospecting, account targeting, lead prioritization, competitive analysis, strategic planning, CRM workflows, internal analytics, data enrichment, reporting, business development, and related business activities.

Researchers and other authorized users are encouraged to use the Data in lawful research, analytics, automation, and AI-assisted workflows, including with third-party tools, without separate written approval, subject to these Terms and applicable plan limits.

07. Prohibited Use

You may not use the Service or Data to:

  • sell, license, publish, distribute, or make substantial portions of the Data available to third parties in raw, bulk, or substantially equivalent form where the primary value being provided is access to Restaurant Pipeline Data itself;
  • operate a business whose principal product is the resale of Restaurant Pipeline records, raw lead lists, contact databases, or a substantially equivalent substitute for the Service, unless separately licensed by Restaurant Pipeline;
  • circumvent authentication, security controls, technical restrictions, or applicable account or plan limits;
  • gain unauthorized access to accounts, systems, source code, or non-public information;
  • materially disrupt, degrade, or impose an unreasonable burden on the Service or its infrastructure; or
  • use the Service or Data for fraud, harassment, deceptive marketing, unlawful spam, unlawful discrimination, or other activity prohibited by applicable law.

These restrictions do not prohibit ordinary value-added analyses, reports, recommendations, visualizations, research, or other outputs that do not expose or redistribute substantial portions of the underlying Data as a substitute database.

08. Ownership and User Submissions

Restaurant Pipeline and its licensors retain all right, title, and interest in the Service and their proprietary Data, compilations, software, data structures, taxonomies, hierarchy relationships, scoring logic, record organization, normalization structures, methodologies, and other intellectual property. Except for the rights expressly granted in these Terms, no ownership rights are transferred to you.

If you submit feedback, corrections, or suggested updates, you grant Restaurant Pipeline a perpetual, worldwide, royalty-free license to use those submissions to operate, maintain, and improve the Service and Data. You represent that you have the right to provide information you submit.

09. Third-Party Sources and No Affiliation

The Service may contain, reference, summarize, or link to information from third-party sources. Restaurant Pipeline is not responsible for the accuracy, availability, terms, or practices of third-party websites or services.

Unless expressly stated otherwise, Restaurant Pipeline is an independent data provider and is not affiliated with companies, restaurants, franchise systems, operators, owners, brands, or other organizations referenced in the Data. Company names, trademarks, service marks, and logos belong to their respective owners. Inclusion in the Service does not imply endorsement, partnership, certification, sponsorship, approval, or validation.

10. Informational Use; No Professional Advice

The Service provides business intelligence and informational resources only. Restaurant Pipeline is not acting as an investment advisor, broker-dealer, financial advisor, legal advisor, accounting firm, consulting firm, franchise advisor, or fiduciary.

Nothing in the Service constitutes investment, legal, financial, accounting, valuation, credit, acquisition, franchise, or professional due-diligence advice. Decisions based on the Service or Data remain your responsibility.

Certain Data may include predictive indicators, estimated opening periods, growth signals, classifications, probability assessments, or other forward-looking information. These outputs inherently involve uncertainty, and Restaurant Pipeline does not guarantee business success, expansion outcomes, opening dates, transaction completion, growth performance, or predictive accuracy.

11. Disclaimers

THE SERVICE, DATA, PREDICTIVE OUTPUTS, REPORTS, AND RELATED MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE” TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

RESTAURANT PIPELINE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, TIMELINESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, PREDICTIVE ACCURACY, AND AVAILABILITY.

We do not guarantee uninterrupted or error-free access or that every record, field, signal, classification, or prediction will be complete or current.

12. Limitation of Liability and Indemnification

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RESTAURANT PIPELINE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, LOST DATA, BUSINESS INTERRUPTION, LOSS OF GOODWILL, OR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RESTAURANT PIPELINE’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE, DATA, OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO RESTAURANT PIPELINE DURING THE THREE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) $100 IF YOU HAVE NOT PAID RESTAURANT PIPELINE ANY FEES.

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Restaurant Pipeline and its affiliates, officers, directors, employees, contractors, licensors, and service providers from third-party claims, liabilities, losses, damages, costs, and reasonable attorneys’ fees arising from your unlawful use of the Service or Data, material violation of these Terms, unauthorized resale or redistribution, violation of applicable law, or infringement of another party’s rights.

13. Suspension or Termination

We may suspend or terminate access if we reasonably determine that these Terms have been materially violated, fraudulent or unlawful misuse has occurred, a material security risk exists, unauthorized resale or redistribution has occurred, payment obligations remain materially overdue, or continued access presents a material risk to the Service or other users.

Upon termination, your right to access the Service ends. Unless your applicable agreement states otherwise, you may retain analyses, reports, presentations, business records, and other derived materials lawfully created during an active license, provided that you do not use them to continue reproducing or redistributing the underlying Restaurant Pipeline database in violation of these Terms.

14. Governing Law and Miscellaneous

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Unless otherwise required by applicable law or a separate written agreement, disputes arising out of or relating to these Terms or the Service must be brought in the state or federal courts located in New York County, New York, and each party consents to the jurisdiction and venue of those courts.

These Terms, together with any applicable order form, subscription agreement, pricing agreement, privacy policy, or other written agreement incorporated by reference, constitute the agreement between you and Restaurant Pipeline regarding the Service. If a provision is held invalid or unenforceable, the remaining provisions remain in effect.

You may not assign these Terms without Restaurant Pipeline’s prior written consent, except in connection with a merger, acquisition, corporate reorganization, or sale of substantially all of your business or assets where the successor agrees to be bound by these Terms. Restaurant Pipeline may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or similar transaction.

Restaurant Pipeline is not liable for delay or failure caused by circumstances reasonably beyond its control. Failure to enforce a provision is not a waiver of that provision or any other provision. Section headings are for convenience only.

How coverage works. Half our records are inside 30 days of opening and 90% are inside 2.5 months, because that is when permits are pulled, leases are recorded, and hiring starts. About 10% surface earlier. Those are averages, and the mix shifts week to week and month to month with construction activity. Pick the window you need and we will show you exactly what exists in it.

This is our deepest window. Half of all records we track fall inside 30 days of opening. Expect the fullest sample of any window you could request.

Read this before requesting a 2.5+ month sample. About 10% of projects are identifiable this far out, which is 35 to 60 new records per week across the entire country. Filtered to one state, a month of activity in this window is often a single-digit count. That is not a limit of the file. It is a limit of what exists 3 months before a door opens. If volume matters more to you than lead time, say so in the notes and we will include a 1 to 2.5 month sample alongside this one.

On contact detail. At least 2 out of 3 pre-opening records carry a direct operator phone or email. This is not a fixed rate. It moves week to week with whatever is being filed, month to month as construction activity rises and falls, and with the source mix in your geography. Small samples swing more than large ones. The remainder carry location, concept, and project detail without a direct line, because permits are often filed by a contractor or a holding LLC before the operator has a phone number or public listing. We do not pad those records with generic numbers. Every phone in your file is one we have verified.
